Corporate Legal Counsel

REPORTS TO:

VP, Legal Affairs

DEPARTMENT:

LOCATION:

Remote with an occasional need to attend required meetings in Baltimore.

JOB OVERVIEW

Corporate Counsel will report directly to the Vice President, Legal Affairs and will be primarily responsible for providing timely and effective advice for the following practice areas both domestically and internationally: (i) the negotiation and management of commercial client and vendor contracts, real estate documents, other transactional documents related to the business (ii) employment and HR matters, (iii) privacy and data protection matters, (iv) management and supervision of litigation, (v) assist and manage ethics investigations, (vi) draft corporate documents as needed, including Master Service Agreements, SOWs, and NDAs (vi) provide general legal advice

QUALIFICATION REQUIREMENTS



The candidate must have the following attributes:

  • Willingness to roll up their sleeves and do substantive legal work as opposed to simply managing outside counsel as well as have experience in a fast-paced business environment.
  • Be flexible, willing to adapt to ever changing business needs, with excellent oral and written communication skills, strong organization skills.
  • The candidate will be required to understand and embrace the role of a business partner to management and corporate clients.
  • Capable of assuming significant responsibility and an in-depth understanding of the company from both a business and legal point of view.
  • Be self-motivated, able to use good judgment.
  • Able to work independently as well as part of a team, and maintain a high level of professionalism and integrity

EDUCATION
  • JD from an accredited law school. Bar passage in at least one state.

EXPERIENCE
  • 5 years legal experience - large law firm training and some in-house experience preferred.
  • Experience and expertise in contract negotiation, employment law, litigation or litigation management, and privacy matters. Some corporate governance experience preferred.
